Welcome to DragonAI Limited (“DragonAI”, “we”, “us” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, products and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

 

1. Definitions

  • “Account” means a user’s registered profile on our platform.

  • “Content” means any text, images, audio, video, data, code or other materials submitted, posted or uploaded by users or generated by DragonAI.

  • “User” or “you” means any person or entity accessing or using the Services.

  • “AI Outputs” means any results, predictions, recommendations or other content generated by DragonAI’s artificial intelligence systems.

 

2. Acceptance of Terms

 

By clicking “Accept,” by using or accessing the Services, or by downloading or installing any software provided by DragonAI, you agree to be bound by these Terms (including any additional terms referenced herein) and our Privacy Policy, incorporated by reference. If you are entering into these Terms on behalf of an entity, you represent that you have full authority to bind that entity.

 

3. Changes to Terms

We may modify these Terms at any time. When we do, we will revise the “Last updated” date at the top. Changes become effective upon posting. Your continued use of the Services after changes have been posted constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Services.

 

4. Access and Use of the Services

 

4.1 Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Services.

 

4.2 Registration

Certain features require you to register and provide accurate, complete information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account.

 

4.3 License

Subject to your compliance with these Terms, DragonAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes.

 

5. User Obligations and Conduct

You agree not to, and will not permit others to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.

  • Infringe or misappropriate any intellectual property right of DragonAI or third parties.

  • Reverse engineer, decompile, or disassemble any portion of the Services.

  • Transmit viruses, malicious code or other harmful components.

  • Interfere with or disrupt the integrity or performance of the Services.

  • Harvest or collect personal information about other users without their consent.

 

6. User-Generated Content

If you post, upload or otherwise make available any Content (“User Content”), you grant DragonAI a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute and display such User Content for any purpose in connection with the Services.

 

7. Intellectual Property

All rights, title and interest in and to the Services, including underlying software, technology, trademarks, trade names, logos and copyrighted materials, belong exclusively to DragonAI or its licensors. Except for the limited license granted above, no rights are granted to you.

 

8. AI Outputs and Disclaimers

 

8.1 No Professional Advice

AI Outputs are provided for informational purposes only and do not constitute legal, medical, financial, or other professional advice. You should consult a qualified professional before acting on any AI Outputs.

 

8.2 Accuracy and Reliability

While we strive to ensure high quality and reliability, AI Outputs may be incomplete, inaccurate or outdated. You agree that your use of AI Outputs is at your sole risk.

 

9. Third-Party Links and Services

The Services may contain links to third-party websites, services or resources. DragonAI does not control, endorse or assume any responsibility for such third-party content, and you access it at your own risk.

 

10. Fees and Payment

If you subscribe to paid features, you agree to pay all fees in accordance with the applicable order form or subscription plan. Fees are non-refundable except as required by law or as expressly provided in writing by DragonAI.

 

11. Termination

We may suspend or terminate your access to the Services, without notice, for any reason, including if you breach these Terms. Upon termination, your license ends and you must cease all use of the Services. Sections that by their nature survive termination (e.g. Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will continue in effect.

 

12. Indemnification

You agree to indemnify, defend and hold harmless DragonAI, its affiliates and their officers, directors, employees and agents from any claim, demand, liability, damage or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms; or (c) your infringement of any intellectual property or other rights of any person.

 

13. Limitation of Liability

To the maximum extent permitted by law, in no event will DragonAI, its affiliates or licensors be liable for any indirect, incidental, consequential, special or punitive damages arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages. DragonAI’s aggregate liability for any claim arising under these Terms will not exceed the amount actually paid by you to DragonAI in the six (6) months preceding the claim (or 100HKD if you have not paid fees).

 

14. Governing Law and Dispute Resolution

These Terms and any disputes arising under them will be governed by the laws of Hong Kong, without regard to conflict-of-law principles. You agree to submit to arbitration.

 

15. Notices

All notices under these Terms must be given in writing and will be deemed delivered when delivered in person, sent by confirmed email to user.dragonai@gmail.com

 

16. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.

 

17. Waiver

No waiver of any term or condition in these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition.

 

18. Entire Agreement

These Terms (together with any documents incorporated herein) constitute the entire agreement between you and DragonAI regarding the Services and supersede all prior or contemporaneous agreements, communications and proposals.
